Governance & Commitment

Scope of this commitment

This Commitment applies to the Management and Employees of TM Group.

Adherence to this Commitment is essential, as we believe it reflects our company values and supports our social goals and targets. 

Governance

Our commitments are enforced through TM’s internal group-wide Human Resource (“HR”) Policy and Occupational Safety, Health, and Environment (“OSHE”) Policy (collectively referred to as “Policies”). 

These Policies ensure that TM’s HR and OSHE practices comply with the applicable Malaysian laws and international standards on employment and human rights, including but not limited to:

Compliance with these Policies is facilitated through various frameworks and governing platforms within TM. Employee-related matters are managed by the Group Human Capital Management division (“GHCM”) and overseen by the People Committee Meeting (“PCM”) and the OSHE Steering Committee, with escalation to the Board Nomination and Remuneration Committee and TM Board of Directors for strategic decision-making when necessary. 

TM will regularly review this commitment to ensure our strategy remains current, addressing any potential risks and opportunities to enhance our governance and compliance.

Protecting Workers Rights

We respect our Employees' freedom of association through recognised unions, such as NUTE, SUTE, SUTEN, and UTES, thus enabling the Employee, through the recognised unions, to exercise their fundamental labour rights, i.e. the right to express work-related grievances without fear of retribution, the right to bargain collectively for better working conditions, and the right to decide on union membership. We remain dedicated to enhancing human capital value through continuous support for workers' rights.

ANTI-HARASSMENT

We are committed to fostering a respectful, inclusive, and fair workplace that values the diversity and privacy of our employees. TM enforces a zero tolerance for harassment, threats or violence in any form. Processes for the immediate reporting of such behaviours ensures a safe and supportive environment for everyone.

Anti-Slavery & Forced Labour Prevention

We prohibit forced labour, adhering to International Labour Organisation (ILO) conventions and modern slavery laws. Modern slavery occurs when individuals are exploited for personal or commercial gain. To prevent this, we ensure fair wages, reasonable working hours, and annual leave rights, fostering an ethical work environment while complying with Malaysian employment laws. TM’s overseas subsidiaries similarly adhere to the applicable employment laws of their respective countries.

Prevention of Child Labour

We prohibit child labour and ensure compliance to applicable laws relating to employment in Malaysia,
including the Children and Young Persons (Employment) Act 1966.

Healthy & Safe Workplace

Ensuring the health and safety of our workforce is fundamental to our operations. Guided by TM's OSHE Policy and OSH Management System Manual, we collaborate with stakeholders to maintain a safe working environment. We track and document incidents, including but not limited to, unsafe acts, unsafe conditions, near misses, and occupational hygiene. Furthermore, we report accidents, dangerous occurrences, occupational poisonings, and occupational diseases to maintain transparency and uphold safety standards.

Grievance Procedure

We strive to cultivate a safe working environment by providing employees an accessible and secure platform to voice their concerns. Any grievances reported by employees are promptly addressed through TM’s Ethics Line or the Grievance Redress Channel via phone or email, while ensuring their confidentiality and protection at all times.

Fostering Ethical Conduct

Fostering a culture of ethical behaviour among employees is essential to our organisation's success. We expect all employees to uphold the highest standards of integrity and accountability by adhering to the TM Code of Conduct and Business Ethics (“Code”) . Any violations of the Code may result in disciplinary actions including but not limited to withholding bonuses, increments and merit awards, denial of promotion or termination of employment.

Our Group Chief Executive Officer leads quarterly Townhalls – conducted both physically and virtually - providing updates on TM Group’s performance and strategic priorities giving every Employee the opportunity to participate.

To deepen our understanding of strategic issues, the respective divisions and lines of business within TM conduct activities which include briefings, online learning, and internal communications campaigns.

Additionally, TM carries out bi-annual Organisational Health Index (“OHI”) survey, with Management, addressing identified gaps to enhance overall organisational well-being and effectiveness.
